Terms and Conditions
These Terms of Use (“Terms”) govern your access to and use of Aynna, including its associated mobile applications, websites, and any part thereof (collectively, the “Platform”), operated by GlowUp Beauty and Wellness Technology Private Limited (“GlowUp”).
These Terms apply to you if you engage with the Platform in any capacity, including but not limited to:
Registering your salon, parlor, studio, etc. (“Store”) to offer bookings, appointments, and/or other services through Aynna, as an “Owner”;
As a “User”, searching, contacting, and browsing through Stores and/or Services, making reservations or appointments at a Store, booking and/or purchasing Services, and sharing information available on the Platform;
Any other form of interaction with the Platform (whether as an Owner, User, or both).
By accessing or using the Platform, you accept these Terms and agree to be bound by them and our Privacy Policy, including any modifications posted on the Platform. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
GlowUp reserves the right to modify, remove, or add content to the Platform, or restrict access to the Services, at any time without notice. Please revisit these Terms regularly to stay informed of any changes.
How Aynna works
For Users
As a User, you can access Aynna via our website or by downloading the User-facing app from the Google Play Store or the App Store. The Platform facilitates access to Stores and Services, requiring certain information as detailed in our Privacy Policy. Aynna allows you to browse Stores and Services, contact Stores, reserve and pay for Services, and rate your experiences.
For Owners
Owners can access Aynna through the Owner-facing app available on the Google Play Store or the App Store. Registering your Store and listing Services on Aynna requires information such as location, services offered, stylist details, pricing, timings, and contact details for Users.
Payments and Bookings
Users can book and pay for Services directly through Aynna or contact Stores directly. Aynna strives to be a comprehensive solution for salon and styling needs but does not guarantee acceptance of bookings or payments through the Platform by all Stores. For Owners, Aynna facilitates booking management and payment receipt, offering a detailed dashboard for business insights.
GlowUp acts solely as an intermediary between Owners and Users, facilitating the organization of and payment for Services. All charges and fees are determined between Owners and GlowUp, with payments collected and disbursed as agreed. Cancellations or rescheduling must be confirmed at least 24 hours before the scheduled service time, subject to the Owner’s confirmation.
Your use of the Platform
While using the Platform, whether as a User or an Owner, you represent and undertake that:
you are at least 18 years of age and fully competent and capable to agree to the Terms and the Privacy Policy under the laws of your jurisdiction;
nothing in any agreement, contract, or law restricts your access to the Platform, Stores, and/or Services in any manner;
you will keep your account and password confidential, and prevent unauthorised access to your account;
you will be solely responsible for all activities carried out through your account;
you will not use the Platform to impersonate any other person or entity, or upload, display or share any information or content that does not belong to you or which infringes the rights of a third-party;
you will not use the Platform to upload, display or share any racist, sexist, defamatory, obscene, or any other information or content which violates, is inconsistent with or contrary to any law;
you will not upload, display, or share any information or content with contains a software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
you will not copy, reverse-engineer, publish, display, modify, create derivate works of, or otherwise exploit the Platform in any manner; and
you will not act in any manner which violates or contravenes the provisions of any laws, rules, regulations, or any other statute to which you are subject or any contract or agreement to which you are a party.
We may suspend and/or restrict access to the Platform and/or the Services if we find that you may be in breach of these Terms, the Privacy Policy, or any law in force for the time being, including for multiple cancellations, rescheduling, or ‘no-shows’ at the discretion of GlowUp. We will not be responsible for providing any refunds or compensation as a result of such suspension or restriction for any reason whatsoever.
Intellectual Property Rights:
All intellectual property on Aynna belongs to GlowUp. Access to Aynna grants you a limited, revocable license for personal use (for Users) or Store listing (for Owners). No rights are transferred to you regarding the Platform or its content.
Relationship:
The services provided by Aynna do not imply any partnership, agency, or relationship beyond a principal-to-principal interaction between GlowUp, Owners, and Users.
Warranties, Disclaimers, and Liability:
Aynna is provided "as is" without warranties of any kind. GlowUp is not liable for indirect, special, or consequential damages arising from your use of Aynna. Liability for direct damages is limited to the cost of Services procured through Aynna.
Grievances and Dispute Resolution:
GlowUp aims to resolve disputes amicably but is not obligated to address grievances related to Services, Stores, Owners, or Users. Disputes under these Terms are subject to Indian law and arbitration in Mumbai, with proceedings in English.
Warranties, Disclaimers, and Liability
SAVE AND EXCEPT TO THE EXTENT NOT PERMITTED UNDER APPLICABLE LAW, THE PLATFORM AND SERVICES ARE PROVIDED “AS IS”. GLOWUP DOES NOT PROVIDE ANY REPRESENTATIONS, WARRANTIES, ASSURANCES, UNDERTAKINGS OR OTHERWISE HAVE ANY OBLIGATIONS, WHETHER EXPRESS OR IMPLIED, STATUTORY OR CONTRACTUAL, INCLUDING IN RESPECT OF MERCHANTABILITY, SUITABILITY OR FITNESS FOR ANY PURPOSE, QUALITY, AVAILABILITY, TIMELINESS, OR ADEQUACY OF THE PLATFORM, ANY SERVICES, STORES, OWNERS OR THE USERS, OR THAT THE PLATFORM OR SERVICES WILL BE FREE OF ERROR OR INTERRUPTION. YOU AGREE THAT THE SOLE AND ENTIRE RISK IN RELATION TO THE SERVICES, WHETHER AS AN OWNER OR USER, REMAINS SOLELY WITH YOU TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.
GLOWUP SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES WHATSOSEVER, INCLUDING ANY LOSS OF PROFITS, DATA, PROPERTY, OR PERSONAL INJURY ARISING OUT OF THE USE OF THE PLATFORM OR SERVICES. OUR LIABILITY, WHETHER DIRECTLY OR INDIRECTLY, AND SUBJECT TO YOUR CONTINUED ADHERENCE TO THESE TERMS AND THE PRIVACY POLICY AND ANY OTHER AGREEMENT OR POLICY FOR THE TIME BEING IN FORCE, ARISING OUT OF THE USE OF THE PLATFORM AND/OR THE SERVICES SHALL BE LIMITED TO THE COST OF THE SERVICES PROCURED THROUGH THE PLATFORM. NOTWITHSTANDING ANYTHING CONTAINED HEREIN, IN NO EVENT WILL WE BE RESPONSIBLE FOR ANY LOSSES, OBLIGATIONS, LIABILITIES, OR CONSEQUENCES ARISING OUT OF ANY EVENTS BEYOND OUR REASONABLE CONTROL, INCLUDING ANY FORCE MAJEURE EVENTS SUCH AS ANY ACT OF GOD, EARTHQUAKE, NATURAL DISASTER, PANDEMIC, GOVERNMENT ORDERS, COMMUNICATION OR POWER OUTAGES, HACKING OR CYBERSECURITY ATTACKS, RIOTS, FIRES, ETC.
GlowUp does not endorse, promote or control any advertising material, offers, brochures, information or any other content which may be made available on the Platform by the Users or Owners and shall have no liability whatsoever for any such content or any consequences thereof. You are advised to employ your own discretion and diligence while accessing any such content on the Platform. We do not claim, guarantee or represent that the Service offered on the Platform are advisable, safe, viable or reliable. Your reliance on any Services is at your sole risk and responsibility. We may amend or update any Services, information or content available on the Platform at any time without any obligation of notice or consent. We do not represent, warrant, guarantee or make any claims about the accuracy, veracity, or completeness of any Services, information or content on the Platform, and the available of any such Services, information or content is not and should not be construed as an offer to sell or solicitation of an offer to purchase or subscribe to or try any Services or access any content or information. The Platform is made available for use and access only in the geographical territory of the Republic of India.
You agree to indemnify and hold harmless GlowUp and its representations against any actual or threatened claims, liabilities, damages, losses, costs and expenses caused by or arising out of your acts or omissions, including but not limited to (a) use of and access to the Platform and Services, including any data or content transmitted or received by you; (b) your violation these Terms or Privacy Policy; (c) personal information or any other information or content that is submitted by you, including without limitation misleading, false or inaccurate information; (d) fraudulent, gross negligence or wilful misconduct; (e) access and use of the Platform or Services by any other person with your login details; or (f) breach of any representations or undertakings, or violation of applicable laws (including but not limited to violation of privacy, confidentiality, or intellectual property rights). The terms of this agreement shall be governed by the Indian law. You hereby consent to the exclusive jurisdiction and venue of courts in Bengaluru, India in all disputes arising out of or relating to the use of this Website.
Grievances and Dispute Resolution
While we may, at our discretion, endeavour to amicably resolve any disputes arising out of the use of the Platform, GlowUp will not be responsible or liable or otherwise obligated in any manner for any complaints, cancellations, no-shows, refunds, reimbursements, replacements, or otherwise any grievances in relation to the Services, Stores, Owners or Users.
Any other disputes arising out of or in relation to these Terms or the Privacy Policy shall be governed by the laws of India and subject to arbitration by a sole arbitrator to be appointed mutually by the parties to such dispute, in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue shall be Mumbai. The arbitration proceedings and award shall be in English and in accordance with the laws of India. The courts of Mumbai shall have exclusive jurisdiction. Any failure or delay by to exercise or enforce any right of GlowUp shall not constitute a waiver. If any part or provision of these Terms or the Privacy Policy is found by a court of competent jurisdiction to be invalid or void ab initio, the parties will endeavour to give full effect to the other provisions.
